These Terms of Service govern the use of the website and services provided by EFEKT Agency (4K Ventures sp z o.o.). By using our website or engaging our services, you agree to these terms.
1. General Provisions
These Terms apply to all services provided by EFEKT Agency (4K Ventures sp z o.o.), including but not limited to UX/UI design, AI product development, consulting, and related digital services. The terms "we", "us", and "our" refer to EFEKT Agency (4K Ventures sp z o.o.).
2. Scope of Services
We provide AI-focused design and development services including: — AI strategy consulting and workshops — UX/UI design for AI products — AI application development and integration — Proof of concept development — System architecture design — Monitoring and optimization The specific scope, timeline, and deliverables for each project are defined in individual project agreements.
3. Client Obligations
The Client agrees to: — Provide accurate and complete information necessary for project execution — Provide timely feedback and approvals as outlined in the project agreement — Ensure they have the rights to any materials provided to us — Make payments according to the agreed schedule — Not use our services for unlawful purposes
4. Intellectual Property
Upon full payment, the Client receives ownership of the final deliverables as specified in the project agreement. We retain the right to use project materials in our portfolio unless otherwise agreed. Pre-existing intellectual property, frameworks, and tools developed by us remain our property. Open-source components used in projects are subject to their respective licenses.
5. Limitation of Liability
Our total liability for any claims arising from services provided shall not exceed the total fees paid by the Client for the specific project in question. We are not liable for indirect, incidental, or consequential damages. We are not responsible for delays caused by circumstances beyond our reasonable control.
6. Confidentiality
Both parties agree to keep confidential all non-public information exchanged during the course of the project. This obligation survives the termination of the agreement for a period of 2 years. Confidentiality obligations do not apply to information that is publicly available or was independently developed.
7. Termination
Either party may terminate the agreement with 30 days written notice. In case of termination, the Client shall pay for all work completed up to the date of termination. Upon termination, we will deliver all completed work and materials to the Client.
8. Governing Law
These Terms are governed by the laws of the Republic of Poland. Any disputes shall be resolved by the competent court in Gdynia, Poland. For EU consumers, mandatory consumer protection regulations of the consumer's country of residence shall apply.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Changes become effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
